FIDIC標準約款には、 契約合意書 （ Contract Agreement ）のフォームが添付されています。英文契約 において、その形式は多くが同じような形式になっています。
契約合意書 の頭書き

Between [ ] (hereinafter call “the Employer”) of the one part and [ ] ( hereinafter call “the Contractor”) of the other part
契約合意書 の最初の部分であり、ここでは契約締結の年月、当事者の名称、設立準拠法律及び所在地などを記載します。
当事者の特定として、契約上の権利や義務を有する当事者がわかるように記載する必要があります。会社の正式名称、所在住所、設立準拠法などがそれにあたります。締約の日付については、署名した日を記載することになります。通常この日が Effective Date となり、そこから契約に記載されている義務が発生することになります。
前文
Whereas the Employer desires that the Works known as [name and number of the Contract] should be executed by the Contractor , and has accepted a Tender by the Contractor for the execution and Completion of these Works and the remedying of any defects therein.
前文（Whereas Clause）は、契約内容に関する要約にあたります。内容的には、契約に至った経緯、動機、契約の目的や希望などを記載することになります。前文には法的な拘束力はなく、必ずしも書く必要性があるものではありません。
本文
The Employer and the Contractor agree as follows:
1. In this Agreement words and expressions shall have the same meaning as are respectively assigned to them in the Conditions of Contract hereinafter referred to.
2. The following documents shall be deemed to form and be read and construed as part of this Agreement:

3. In consideration of the payments to be made by the Employer to the Contractor as hereinafter mentioned, the Contractor hereby covenants with the Employer to execute and complete the Works and remedy any defects therein, in conformity with the provisions of the Contract.
4. The Employer hereby covenants to pay the Contractor , in consideration of the execution and completion of the Works and the remedying of defects therein, the Contract Price at the times and in the manner prescribed by the Contractor.
主な構成として、①用語の意味、②契約書類の優先順位、③約因が記載されます。
また英国法である場合、 契約 の成立には、以下の要素が必要となります。
つまり、(1) 契約当事者双方に意思能力がある、(2) 申し込みと承諾があること、（３） 約因（ Consideration ）があること、（４） 契約内容が適法であること となります。（１）は、仮に行為無能力者（法律行為を単独でできる能力が欠けている者）では、契約は有効に成立できないし、（４）は違法である場合、その契約自体が無効となるためです。また（２）と（３）については、別途下記に詳細を記載していますので、参考いただきたいと思いいます。
末尾文
In Witness whereof the parties hereto have caused this Agreement to be executed the day and year first before written in accordance with their respective laws.
ここでは、関係者が立ち会って署名をすることになっています。また契約が法的に有効に成立させるには、契約の署名者が会社を代表する権限があることが必要で、それを確認する必要があります。そのために、権限に関するLegal Opinionを取得することが必要となってきます。
まとめ
契約合意書 は、頭書き、前文、本文、末尾文とほぼ形式が一緒であり、その中身も多くが共通しています。契約書 によって、詳細、また項目は異なりますが、主要な要素は同じですので、上記の基本的な内容を理解しておけば、凡そ 契約合意書 は理解できるかと思います。
